01Who we are
Curveon OÜ is a private limited company registered in Estonia under registration number 17497752, with its registered office at Vesivärava tn 50-301, 10152 Tallinn, Estonia, and VAT identification number EE103003797. In these terms “we”, “us” and “Curveon” mean Curveon OÜ, and “you” means the client.
02Our services
We provide professional services to businesses and to private clients, including:
- custom software development — Telegram Mini Applications, web and mini applications, bots, back-end and API development, third-party integrations, testing and deployment;
- AI services — integration of AI into existing systems, workflow automation, tooling setup, advisory consulting and training;
- digital marketing — search engine optimisation, content creation and placement, paid search management, and optimisation of visibility in AI assistants;
- technical support and maintenance of delivered solutions.
We do not operate an online shop. Services are scoped individually and supplied under a written proposal or agreement.
03How an engagement is formed
You send an enquiry; we discuss scope; we issue a written proposal setting out the work, the fee, and the expected timeline. A binding contract is formed when you accept that proposal in writing, sign an agreement with us, or pay an invoice issued against it — whichever happens first. A proposal is valid for 30 days unless stated otherwise.
04Fees, invoicing and payment
Fees are stated in the proposal, in euro or pounds sterling, and are exclusive of any taxes for which you are responsible. We invoice either in full on acceptance, or against agreed milestones. Payment is due within 30 days of the invoice date unless the invoice states another period, and is made by bank transfer to the account shown on the invoice.
We do not accept cash and do not process card payments. Where you are a business in another EU member state, or established outside the EU, VAT is accounted for under the applicable reverse-charge or place-of-supply rules and the invoice will state the basis.
Overdue amounts carry interest at the statutory rate under Estonian law. We may suspend work on overdue accounts after giving you written notice.
05What we need from you
You agree to give us, in good time, the information, materials, access and approvals we reasonably need to do the work, and you confirm that any material you supply does not infringe anyone else's rights. Delays caused by late input may move agreed dates.
06Intellectual property
Once we have been paid in full for an engagement, the deliverables created specifically for you under it belong to you. We keep all rights in our pre-existing know-how, methods, tools, libraries and templates, and in anything of general application developed in the course of the work; where any of that is embedded in a deliverable, you receive a perpetual, non-exclusive licence to use it as part of that deliverable. Third-party and open-source components remain subject to their own licences, which we will identify on request.
07Confidentiality
Each of us will keep the other's non-public information confidential and use it only to perform the engagement. This does not apply to information that is already public, that we lawfully held before disclosure, or that we are required to disclose by law. These obligations continue after the engagement ends.
08Warranties and liability
We will perform the services with reasonable skill and care, by suitably competent people. We do not warrant that software will be free of all defects or uninterrupted in operation. If a deliverable does not conform to the agreed scope, tell us within 30 days of delivery and we will correct it at no charge.
To the maximum extent permitted by law, our total aggregate liability arising out of an engagement is limited to the fees you have paid us under that engagement, and neither party is liable for indirect or consequential loss, loss of profit, loss of data or loss of business. Nothing in these terms limits liability for death or personal injury caused by negligence, for intentional misconduct or gross negligence, or any other liability that cannot lawfully be limited. If you are a consumer, your statutory rights are not affected.
09Term and termination
Either of us may terminate an engagement on written notice if the other commits a material breach that is not remedied within 14 days of being asked to fix it. You may also cancel an engagement as set out in the Refund & Cancellation Policy below. On termination, fees for work properly performed up to that date remain payable, and we will hand over the work completed to that point once those fees are settled.
10If you are a consumer
Where you engage us as a private individual rather than in the course of a business, you have statutory rights under Estonian and EU consumer law that these terms do not restrict, including a right of withdrawal in distance contracts. Those rights are explained in the Refund & Cancellation Policy.
11Changes to these terms
We may update these terms from time to time; the version in force is the one published on this page on the date your engagement is formed. Changes do not affect engagements already agreed.
12Governing law and disputes
These terms are governed by the law of the Republic of Estonia, and disputes are subject to the jurisdiction of the Estonian courts. Please raise any complaint with us first at info@curveon.net — we aim to respond within five working days. A consumer may also refer a dispute to the Consumer Disputes Committee of the Estonian Consumer Protection and Technical Regulatory Authority.
